The process of due diligence can be the most challenging in any transaction. It begins after a Letter of Intent (LOI), or an Indication of Interest (IOI) has been agreed upon. Those documents are similar but different. While both are non-binding in many critical aspects the IOI can often be only a range of values and not include all elements of a deal. The LOI would normally be more specific with a greater estimate of all terms and conditions. There are also documents that will be called one or the other that are actual hybrids in that they are structured as an IOI but will be very specific in terms and conditions or an LOI that is not detailed as is customary. These documents are negotiated to supply the seller with sufficient data to be able to evaluate competing offers. While non-binding regarding the completion of a transaction they lay the groundwork for proceeding further. Everything is dependent upon the successful completion of due diligence.
